(“Vendor”)

VA Vintage leases to the Vendor, booth space located inside the VA Vintage building located at the address of 1650 General Booth Blvd, VA Beach, VA 23454 (Unit 200) in the Dam Neck Crossing shopping center.

Unless otherwise requested, this lease will become a month-by-month lease. Lease shall remain in effect until it is terminated by either party who shall be required to provide written 30 days notice of intent to terminate.

Vendor Responsibilities

Vendor agrees to the following:
  1. Vendor agrees to maintain a valid business license from the City of Virginia Beach Commissioner of the Revenue. The vendor must provide proof of their business license before setting up their booth. Vendor agrees that VA Vintage can ask for proof that the business license is valid and renewed at any time. Vendor must provide proof within 7 business days in writing via email to Danny Taylor at [email protected]
  2. Vendor agrees to pay rent in advance on or before the 15th day of each month. The first month is non-refundable. Payments must be made by credit card. Vendor is required to keep a credit card on file that will be automatically charged on the 15th day of the month if payment has not already been received. If automatic charges are disputed or returned, vendor will accrue a fee of 25.00 per returned charge.
  3. Vendor authorizes VA Vintage to use Stripe.com’s online payment service to accept Vendor rent payments made via Credit/Debit card, bank transfer and/or Cash App. VA Vintage will use vendors’ Credit/Debit card on file at Stripe to pay for any and all future payments. Stripe will email receipts of all transactions to the Vendor email address VA Vintage has on file.
  4. Vendor further agrees to pay VA Vintage 13% of net proceeds collected on all sales as compensation for monthly sales reports, collection and payment of sales tax, and credit card charges as well as efforts spent on marketing and sales of Vendor merchandise. VA Vintage will calculate these figures the first week of each month and deduct the amount from the vendor’s sales check. Any remaining balance will be charged to the vendor’s card on file.
  5. Vendor agrees that VA Vintage shall have a lien on any inventory or fixtures in the vendor space or elsewhere inside VA Vintage for any unpaid rent and/or fees, late charges, etc. and will not be permitted to remove merchandise from the store until payment has been received. To satisfy said lien, after 30 days, Vendor authorizes VA Vintage to sell Vendor’s merchandise at public or private sale without any further notice to the vendor and to apply all proceeds from the sale of merchandise to the unpaid rent, late fees and storage fees.
  6. Vendor agrees to tag all merchandise. Tags must include the Vendor number, product description and price. Tags may also include an inventory number if desired. Items that are not for sale must be marked “NFS”. If an item is untagged, VA Vintage will attempt to contact the Vendor. If contact cannot be made, vendor authorizes VA Vintage to estimate the value of the item based on current or previous similar items in the store and to sell the item at that price. Items with a known defect must be marked “As-is”.
  7. Vendor must keep all merchandise inside their assigned space. Vendor is required to keep aisles clear and abide by all state and city fire codes.
  8. Some spaces in VA Vintage will be equipped with electricity. If use is made of electricity in your space, A power strip and a timer set to store hours must be used. Failure to use a timer will result in a convenience fee of $10/month added to your bill to account for the additional time management must spend turning your booth off and on.
  9. No items are to be sold directly by the Vendor on the premises- either inside or outside. Doing so will result in immediate termination of agreement and a request to vacate space within 48 hours.
  10. Vendor is allowed to visit, re-stock and maintain their booth space at any time during business hours but are encouraged to bring in large items or perform lengthy maintenance outside of peak business hours (Saturdays 12pm to 5pm and Sundays 12pm to 5pm) This is an effort to prevent inconvenience to shoppers.
  11. Vendor is not allowed to sublease or sublet any part of their space at any time without prior authorization from VA Vintage.
  12. Vendor assumes all responsibility for their own health and well-being while on VA Vintage Property and agrees to release VA Vintage from all liability and compensation.

VA Vintage Responsibilities

VA Vintage agrees to the following:
  1. VA Vintage agrees to collect and pay all applicable sales tax to the VA Tax Commission.
  2. VA Vintage agrees to present sales reports along with Vendor check within 7 business days after the 15th day of each month. Vendor sales shall be calculated from the fifteenth through the fifteenth of the previous month (e.g. 1/15 – 2/15). If the vendor has any outstanding balances due such as rent, late fees, etc. Vendor check will be held until the outstanding balances are paid in full. If the vendor would like to receive their check by mail, Vendor will need to provide a postage paid, self addressed envelope. VA Vintage takes no responsibility if the U.S. Postal Service fails to deliver mail submitted to their care. If Vendor loses or damages a check and needs a new one issued, there will be a 5.00 charge added to their account.
  3. VA Vintage reserves the right to revise this contract & establish new monthly rental rates and additions to Vendor contract at any time.
  4. VA Vintage agrees to maintain and keep clean aisles, common areas and restrooms.

Additional Policies and Notes

  1. Vendor is encouraged to create a social media and/or online presence and to engage with and share with our Facebook page.

  2. If Vendor underperforms (fails to make at least 25% more than monthly booth rent in sales) for 90 consecutive days, VA Vintage management may schedule a meeting to discuss how Vendor can improve their performance. If after 30 additional days, the Vendor has made no effort to improve performance and is continuing to underperform, they will receive a 30 day written notice from VA Vintage of intent to dissolve this agreement.
  3. VA Vintage reserves the right to alter Vendor space without notice to improve sales performance and adhere to safety and fire code restrictions. Including but not limited to adding or removing lighting or floor coverings, plugging or unplugging electronics and moving or re-organizing items.
  4. If Vendor does not maintain or stock their space for 60 consecutive days and no contact has been received, VA Vintage will attempt to contact them by phone. If the Vendor fails to respond or make contact within 14 days, their space will be considered abandoned and all merchandise and fixtures in the space will become property of VA Vintage and may be disposed of or sold with all profits going to VA Vintage.
  5. VA Vintage does not provide insurance of any kind for protection of Vendor products and fixtures and will not be responsible for the loss of such due to theft, breakage or loss due to fire, flood, roof leaks, acts of God, or damage of any kind whatsoever to vendor products, fixtures or personal property.
  6. VA Vintage reserves the right to remove or rearrange any merchandise that may be offensive to others, a potential fire or safety hazard or which do not meet the standards of the store.
  7. VA Vintage reserves the right to make changes to policies and operating procedures without notice when necessary for the success of the store and good of the Vendor.
  8. No vendor is guaranteed exclusivity.
  9. If Vendor wishes to run a sale or discount on their merchandise, they must notify VA Vintage management so that accurate prices can be applied at checkout.
  10. Vendor is responsible for cleaning and maintaining an attractive and well organized booth. Vendor is encouraged to maintain and update their booth on a weekly basis.
  11. Vendor is to behave and act professionally while maintaining and organizing their space. Such as, being friendly to customers, no smoking or loud swearing and being considerate of other vendors by not blocking or encroaching on their space. Vendor assumes responsibility for the behavior of any guests or children that accompany them.
  12. Vendor is to adhere to types of merchandise listed on their initial application. If Vendor wishes to alter their type of merchandise, it will need to be approved by VA Vintage before it is placed in Vendor space. (Example: vendors who listed antiques on their initial application would need approval before bringing in new in package items). This is an effort to help keep balance in the selection for customers and vendors.
